These Terms and Conditions govern your use of lumeons's advisory and planning services. By engaging with our services, you confirm that you have read and accepted these terms.
Definitions
For the purposes of these Terms and Conditions, the following terms carry the meanings set out below:
- "Service" means any advisory, review, workshop, or retainer engagement delivered by lumeons, as described in the relevant service description.
- "User" / "Client" means the individual or organisation that engages lumeons's services or accesses this website.
- "We / Us / Our" refers to lumeons, operating from Jalan PJU 7/3, 47810 Petaling Jaya, Selangor, Malaysia.
- "Content" means all written materials, planning documents, templates, session recordings, and deliverables produced by lumeons in connection with a service engagement.
- "Agreement" means these Terms and Conditions, together with any service order or engagement letter accepted by the Client.
- "Engagement" means a specific contracted scope of service work between lumeons and a Client.
Acceptance of Terms
By submitting an enquiry, signing an engagement letter, or making a payment to lumeons, you confirm that:
- You are at least 18 years of age or are acting with authority on behalf of a registered business entity.
- You have the legal capacity to enter a binding agreement under Malaysian law.
- You have read, understood, and agree to be bound by these Terms and Conditions in full.
- Where you act on behalf of an organisation, you confirm you have authority to bind that organisation.
Service Description
lumeons provides operational design advisory services focused on GPU-dense server room planning. Our three service offerings are:
- Layout Planning Review (RM 480): A written advisory review of a proposed server room layout, covering zoning, airflow considerations, and rack placement options. Delivered as a written report plus one planning session.
- Operational Design Workshop (RM 2,400): A facilitated workshop for operations teams exploring layout strategy and design options. Delivered as a single working session with planning templates and a written summary.
- Design Advisory Retainer (RM 4,300/quarter): A quarterly retained advisory engagement supporting ongoing layout decision-making across a build or expansion programme. Includes recurring sessions and structured decision support.
Services are available to clients based in Malaysia and, where agreed, to international clients on a remote basis. lumeons reserves the right to decline engagements at its discretion.
User Responsibilities
As a Client, you agree to:
- Provide accurate, complete information relevant to the engagement scope.
- Make available any necessary documentation, plans, or access required for the advisory work.
- Attend scheduled sessions at agreed times or provide reasonable advance notice of changes.
- Use deliverables solely for your own internal business planning purposes.
- Comply with all applicable Malaysian laws and regulations in connection with your use of our services.
The following activities are not permitted:
- Reproducing, reselling, or distributing lumeons's deliverables to third parties without written consent.
- Misrepresenting the source or authorship of lumeons's work product.
- Using lumeons's name, brand, or materials in any promotional context without prior written agreement.
- Engaging lumeons under false pretences or with the intent to obtain materials for competing commercial use.
Intellectual Property
All content, templates, frameworks, methodologies, and written materials produced by lumeons remain the intellectual property of lumeons unless explicitly transferred in writing.
Upon full payment of the agreed fee, lumeons grants you a limited, non-exclusive, non-transferable licence to use the deliverables produced for your specific engagement for your own internal business planning purposes.
You may not sublicence, assign, or commercialise any lumeons deliverable without written consent. Generic methodologies, frameworks, and approaches developed by lumeons remain the sole property of lumeons regardless of any engagement.
Payment Terms
- Currency: All fees are quoted and payable in Malaysian Ringgit (RM).
- Payment timing: Payment is due prior to commencement of service unless otherwise agreed in writing. Retainer fees are due at the start of each quarterly period.
- Payment methods: Bank transfer and other methods as agreed. Details provided at invoicing.
- Late payment: lumeons reserves the right to pause or suspend services where payment is overdue by more than 14 days.
- Cancellations: Cancellations made more than 5 business days before a scheduled session may be rescheduled at no charge. Cancellations within 5 business days may result in forfeiture of the session fee. Retainer fees are non-refundable once a quarter has commenced.
- Taxes: All fees exclude applicable taxes including SST where relevant under Malaysian law.
Service-Specific Terms
Layout Planning Review
The scope covers one written review and one planning session as described at purchase. Additional sessions or revised reviews are priced separately. Deliverables are based on the information provided by the Client at the time of engagement.
Operational Design Workshop
The workshop is a single facilitated session. Date and format (in-person at Petaling Jaya or remote) are agreed at booking. A written summary is delivered within 5 business days of the workshop. Significant changes to scope agreed in the session are subject to a revised engagement.
Design Advisory Retainer
The retainer runs on a quarterly basis with session frequency agreed at the start of each quarter. Unused sessions do not carry forward. The retainer may be renewed or discontinued at the end of each quarter with 10 business days' notice.
Disclaimers
lumeons's services are advisory and operational in nature. They are provided to support your internal planning and decision-making processes. Please note the following:
- Our advisory work does not constitute engineering sign-off, structural assessment, electrical certification, or any other licensed professional services.
- Deliverables reflect advisory opinions based on information provided by the Client. They are not independently verified technical assessments.
- No specific operational outcome is represented as a result of following our advisory recommendations.
- Clients retain responsibility for engaging appropriately licensed contractors, engineers, and certifying bodies where required by applicable regulations.
- Services are provided on an "as available" basis. While we aim to meet agreed timelines, we do not warrant uninterrupted or error-free delivery.
Limitation of Liability
To the fullest extent permitted under Malaysian law:
- lumeons's total liability arising out of or in connection with any single engagement shall not exceed the fees paid by the Client for that specific engagement.
- lumeons shall not be liable for indirect, consequential, incidental, or special damages including loss of profits, loss of data, or business interruption.
- We are not liable for outcomes resulting from a Client's use or non-use of advisory recommendations after delivery.
- Force majeure events — including utility failures, natural disasters, industrial action, or pandemic-related disruptions — shall not give rise to liability for delayed or modified service delivery.
Indemnification
You agree to indemnify and hold harmless lumeons, its principals, and contractors from and against any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your misuse of lumeons's deliverables; (b) your breach of these Terms; (c) any false or inaccurate information you provide to us; or (d) any claim brought by a third party resulting from your reliance on lumeons's advisory materials.
Termination
Either party may terminate a specific engagement by providing written notice. The following applies:
- For single-session engagements, termination after a session has commenced does not entitle the Client to a refund.
- For retainer engagements, termination takes effect at the end of the current quarterly period.
- lumeons may terminate an engagement with immediate effect if a Client breaches these Terms or engages in conduct detrimental to the working relationship.
- Upon termination, all licences granted to use lumeons deliverables continue only to the extent of work completed and paid for.
- Provisions relating to intellectual property, liability, indemnification, and dispute resolution survive any termination.
Dispute Resolution
These Terms are governed by the laws of Malaysia. In the event of a dispute:
- Informal resolution: Both parties agree to first attempt resolution by direct written communication within 20 business days of the dispute being raised.
- Mediation: If informal resolution is unsuccessful, the parties may agree to refer the matter to a mutually acceptable mediator under the Malaysian Mediation Act 2012.
- Jurisdiction: If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of Selangor, Malaysia.
General Provisions
- Entire agreement: These Terms, together with any engagement letter, constitute the entire agreement between the parties regarding the services described.
- Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
- Waiver: A failure by either party to enforce any provision shall not constitute a waiver of that provision.
- Assignment: You may not assign your rights or obligations under this Agreement without written consent from lumeons. lumeons may assign rights to a successor business entity.
- Notices: Formal notices should be sent by email to [email protected] or by post to the address below.
Changes to Terms
lumeons may update these Terms from time to time. Where changes are material, we will notify active Clients by email at least 14 days before the changes take effect. Continued use of our services after that date constitutes acceptance of the revised Terms.
Minor or administrative updates (such as correcting typographical errors or updating contact details) may be made without prior notice. The "Last Updated" date at the top of this page always reflects the most recent revision.
